TERMS AND CONDITIONS


1. DEFINITIONS AND TERMS
GEOSTUD - is the trade name of GEOSTUD SRL, a legal entity of Romanian nationality, with registered office in Bucharest, Sector 1, Sângerului Street, No.11, with order number in the Trade Register J40/4048/2001, unique tax registration code RO13840425.
Seller - GEOSTUD SRL.
Buyer - can be any natural person over 16 years of age or any legal person or any legal entity, requesting Information/Offer, followed by an Order sent only through the e-mail office@geostud.ro, mentioned in the Contact section of the website www.geostud.ro.
Customer - can be any natural person over 16 years of age or any legal entity that has or obtains access to the CONTENT, by any means of communication made available by GEOSTUD (electronic, telephone, etc).
User - any natural person over 16 years of age or legal entity, who, by filling in and sending the Form with his/her contact details, has agreed to the specific terms of the site, in the General Terms and Conditions section.
Website - online presentation platform hosted at https://geostud.ro.
Order - an electronic document that intervenes as a form of communication between the Seller and the Buyer by which the Buyer transmits to the Seller, through the Website, his intention to purchase Services from the Website.
Services - any service listed on the Website, including the services mentioned in the Order, to be provided by the Seller to the Buyer as a result of the Contract.
Contract - means the distance contract concluded between the Seller and the Buyer, without the simultaneous physical presence of the Seller and the Buyer.
Content - is:
- All information on the Site that can be viewed or otherwise accessed through the use of electronic equipment;
- The content of any e-mail sent to Users by GEOSTUD SRL by electronic and/or any other available means of communication;
- Any information communicated by any means by an employee of GEOSTUD SRL, to the User, according to the contact information specified by him;
- Information related to the Services and/or the tariffs practiced by GEOSTUD SRL;
- data relating to the Seller, or any other privileged data of the Seller.
Document - these Terms and Conditions.
Commercial Communications - any type of message sent (such as: e-mail/ SMS/ telephone, etc.) containing general and thematic information, information on services similar or complementary to the ones you have requested, information on price offers, information on Services.
Specifications - all specifications and/or descriptions of the Services as set out in their description.

2. CONTRACTUAL DOCUMENTS
2.1 By placing the Form on the Site, the User agrees with the form of communication (telephone or e-mail) through which GEOSTUD SRL conducts its business operations.
2.2 The notification received by the User, after placing the Form, is for information purposes. This notification is made electronically (e-mail) or by telephone.
2.3 The Contract shall be deemed to be concluded between the Seller and the Buyer only if:
- The Buyer transmits to the Seller by electronic means (e-mail) and on the basis of a price offer transmitted/communicated in advance, also by e-mail, by the Seller to the Buyer, a firm order, which order contains services from the Seller's portfolio.
- The Order is considered to be valid only after receipt by the Buyer from the Seller, via electronic mail (e-mail) confirmation of receipt of the Order.
2.4 The information made available by the Seller on the Website shall form the basis of the Contract, supplemented by the information provided by the Buyer to the Seller by electronic means (e-mail), the Price Quote sent by the Seller to the Buyer and the Firm Order received by the Seller from the Buyer.
3. ONLINE SALES POLICY
3.1 Access to place an Order is granted to any User/Buyer.
3.2 For justified reasons, Geostud reserves the right to restrict the access of the User/Purchaser in order to place an Order, if it considers that based on the conduct or activity of the User/Purchaser on the Website, his/her actions could in any way harm GEOSTUD SRL. In any of these cases, the User/Purchaser may contact the Marketing Department of GEOSTUD, in order to be informed of the reasons that led to the application of the above-mentioned measures.
3.3 Communication with the Seller may be made through direct interaction with the Seller or through the addresses mentioned in the "contact" section of the Website. The Seller is free to handle the information received without having to provide any justification.
3.4 Any information used to describe the Services available on the Website (static/dynamic images/multimedia presentations/etc.) does not represent a contractual obligation on the part of the Seller, and is used solely for presentation purposes.
4. PRIVACY
4.1 GEOSTUD SRL will maintain the confidentiality of the information of any nature that the User provides. Disclosure of the information provided may only be made under the conditions specified in the Privacy Policy document.
 4.2 No public statement, promotion, press release or any other form of disclosure to third parties shall be made by the Buyer/Customer in relation to the Order/Contract without the prior written consent of the Seller.

5. INVOICING - PAYMENT
5.1 The price, method of payment and payment term are specified in each Order. The Seller shall issue to the Buyer an invoice for the price of the Services and the Buyer shall provide all information necessary to issue the invoice in accordance with applicable law.
5.2 The Seller will send to the Buyer the invoice related to the Order with Services to be provided by GEOSTUD SRL.
5.3By sending the Order, the Buyer agrees to receive the invoices in electronic format via electronic mail to the e-mail address specified by it.

6. ANSWER
GEOSTUD SRL reserves the right to periodically update and amend the Website Terms and Conditions to reflect any changes in the manner and conditions of operation of the Website or any changes in legal requirements. The document is enforceable against Customers/ Users/ Buyers from the time of posting on the Site. In the event of any such changes, we will post the amended version of the Document on the Site, so please check the contents of this Document periodically.

7. PROCESSING OF PERSONAL DATA
GEOSTUD SRL has an Information Security Management System certified according to ISO/IEC 27001:2013. The security of personal data, as well as compliance with the conditions imposed by the General Regulation on Personal Data Protection 679/2016 are set out in the Privacy Policy on the processing of personal data, which is part of this Document.

8. USE OF COOKIES
The cookies used by www.geostud.ro and the purposes for which they are used can be viewed in full in the Cookies Policy document.

9. MAJOR FORCE
9.1 Neither party shall be liable for failure to perform its contractual obligations, if such failure to perform on time and/or properly, in whole or in part, is due to an event of force majeure. Force majeure is an unforeseeable event beyond the control of the parties and which cannot be avoided.
9.2 If, within 15 (fifteen) days from the date of the occurrence of the event, the event does not cease, each party shall be entitled to notify the other party of the termination of the contract without either party being entitled to claim any further damages from the other party.
9.3 GEOSTUD SRL can terminate the free online/audio/video consultation session at any time, either by its own decision, or if there is an inappropriate attitude or if the client uses inappropriate language.

10. APPLICABLE LAW - JURISDICTION
This Contract is subject to Romanian law. Any disputes arising between the Seller and Users/Buyers will be settled amicably or, if this is not possible, the disputes will be settled by the competent Romanian courts of Bucharest.
